By accessing and using the services provided by Solarithm ("we," "our," or "us"), you ("Customer," "you," or "your") agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
2. Description of Services
Solarithm provides comprehensive solar energy solutions including:
- Solar PV consultation and feasibility studies
- Commercial solar system design and engineering
- Solar panel installation and commissioning
- Operations and maintenance (O&M) services
- System monitoring and performance optimization
- Regulatory compliance and permitting assistance
3. Eligibility
Our services are available to businesses and individuals who:
- Are at least 18 years of age
- Have the legal capacity to enter into contracts
- Provide accurate and complete information during consultation
- Own or have proper authorization for the property where services will be provided
4. Service Agreement and Quotations
4.1 Consultation Process
Initial consultations and site assessments are provided to evaluate the feasibility of solar installations. Quotations are valid for 30 days unless otherwise specified.
4.2 Contract Formation
A binding contract is formed when you accept our written quotation and provide the required deposit. All work is subject to obtaining necessary permits and approvals.
4.3 Changes to Scope
Any changes to the agreed scope of work must be documented in writing and may result in additional charges or timeline adjustments.
5. Payment Terms
5.1 Payment Schedule
Payment terms are as follows:
- Deposit: 30% upon contract signing
- Progress payments: As outlined in individual contracts
- Final payment: Upon completion and commissioning
5.2 Late Payments
Late payments may incur interest charges at 2% per month. Persistent non-payment may result in suspension of services and legal action.
6. Installation and Completion
6.1 Site Access
Customers must provide safe and reasonable access to installation sites. Any delays due to access issues may result in additional charges.
6.2 Timeline
Installation timelines are estimates and may be affected by weather, permit delays, or unforeseen circumstances. We will communicate any significant delays promptly.
6.3 System Commissioning
All systems are tested and commissioned according to industry standards and regulatory requirements before handover.
7. Warranties and Guarantees
7.1 Workmanship Warranty
We provide a 10-year warranty on all installation workmanship, covering defects in our installation work.
7.2 Equipment Warranties
Equipment warranties are provided by manufacturers and vary by component:
- Solar panels: Typically 25-year performance warranty
- Inverters: Typically 10-25 year warranty
- Mounting systems: Typically 10-25 year warranty
7.3 Performance Guarantee
We guarantee system performance based on design specifications, subject to normal wear and proper maintenance.
8. Maintenance and Support
8.1 O&M Services
Optional maintenance services include system monitoring, cleaning, repairs, and performance optimization.
8.2 Customer Responsibilities
Customers are responsible for:
- Maintaining clear access to solar equipment
- Reporting any system issues promptly
- Not attempting unauthorized repairs or modifications
- Maintaining appropriate insurance coverage
9. Limitations of Liability
9.1 Force Majeure
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, government actions, or supply chain disruptions.
9.2 Limitation of Damages
Our liability for any claim is limited to the total amount paid for the specific services in question. We are not liable for indirect, consequential, or punitive damages.
9.3 Performance Variables
Solar system performance depends on factors including weather, shading, and grid conditions. Actual performance may vary from estimates.
10. Intellectual Property
All system designs, documentation, and proprietary methods remain the intellectual property of Solarithm. Customers receive a license to use designs for their specific installation only.
11. Confidentiality
We maintain confidentiality of customer information and project details. Customers may request non-disclosure agreements for sensitive commercial information.
12. Termination
12.1 Termination by Customer
Customers may terminate services with written notice, subject to payment for work completed and reasonable cancellation fees.
12.2 Termination by Solarithm
We may terminate services for breach of contract, non-payment, or safety concerns, with appropriate notice.
13. Dispute Resolution
13.1 Mediation
Disputes should first be addressed through direct negotiation. If unresolved, mediation will be pursued before litigation.
13.2 Governing Law
These Terms are governed by the laws of England and Wales. Any legal proceedings will be conducted in UK courts.
14. Regulatory Compliance
All work is performed in compliance with:
- UK Building Regulations
- Electrical safety standards (BS 7671)
- Planning permission requirements
- Grid connection standards (G98/G99)
- MCS (Microgeneration Certification Scheme) standards
15. Insurance and Safety
15.1 Our Insurance
Solarithm maintains comprehensive public liability and professional indemnity insurance covering our operations.
15.2 Safety Requirements
All work is performed according to strict health and safety protocols, with appropriate risk assessments and method statements.
16. Data Protection
Personal data processing is governed by our Privacy Policy and complies with UK GDPR requirements. System monitoring data remains confidential and is used only for performance optimization.
17. Environmental Considerations
We are committed to sustainable practices in our operations and proper disposal/recycling of equipment at end of life.
18. Amendments to Terms
These Terms may be updated periodically. Significant changes will be communicated to existing customers. Continued use of services constitutes acceptance of amended terms.
19. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
